Terms of Use

Welcome to eJRekruit, a SaaS-based Jobs and Talent tracking application. These Terms of Use (“Terms”) govern your access to and use of our Service. By using our Service, you agree to be bound by these Terms.

1. Access to the Service

1.1 Eligibility. You must be 18 years or older to use the Service. By using the Service, you represent and warrant that you meet all the eligibility requirements.

1.2 License. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal or business purposes. You may not use the Service for any illegal or unauthorized purpose.

1.3 User Account. To access certain features of the Service, you may be required to create a user account. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.

2. Use of the Service

2.1 Jobs Product. The Jobs product in eJRekruit tracks all the jobs we create to attract prospective employees. You may use the Jobs product to post job listings and manage applications from candidates.

2.2 Talent Module. The talent module tracks all the information related to the candidates or applicants including resumes, work history, and other confidential information. You may use the Talent Module to manage candidate information and to collaborate with your team.

2.3 Restrictions. You may not use the Service in any manner that could damage, disable, overburden, or impair our servers or networks, or interfere with any other party’s use and enjoyment of the Service. You may not attempt to gain unauthorized access to any part of the Service, or any other systems or networks connected to the Service.

3. User Content

3.1 User Content. You are solely responsible for any content that you upload, post, or otherwise make available through the Service (“User Content”). You retain all rights in, and are solely responsible for, the User Content.

3.2 License to User Content. By uploading, posting, or otherwise making available User Content, you grant us a non-exclusive, transferable, sublicensable, royalty-free, worldwide license to use, store, display, reproduce, modify, create derivative works from, and distribute your User Content in connection with the Service.

3.3 Prohibited Content. You may not upload, post, or otherwise make available any content that is illegal, obscene, defamatory, or infringing on any third party’s intellectual property or other rights.

4. Intellectual Property

4.1 Ownership. We own all right, title, and interest in and to the Service, including all intellectual property rights.

4.2 Trademarks. The eJRekruit name, logo and slogan are trademarks of our company. You may not use our trademarks without our prior written consent.

5. Privacy

Our Privacy Policy governs the collection, use, and disclosure of your personal information in connection with the Service. Please review our Privacy Policy for more information.

6. Disclaimers

6.1 No Warranties. The Service is provided on an “as is” and “as available” basis. We make no representations or warranties of any kind, whether express, implied, or statutory, regarding the Service.

6.2 Limitation of Liability. We will not be liable for any damages of any kind arising from the use of the Service, including but not limited to direct, indirect, incidental, punitive, and consequential damages.

7. Indemnification

You agree to indemnify and hold eJAmerica, its affiliates, officers, agents, employees, and partners harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your use of the eJAmerica’s platform, your violation of these Terms of Use, your violation of any rights of another person or entity, or your violation of any applicable laws or regulations. eJAmerica reserves the right, at its own expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims.

8. Termination

eJAmerica may terminate your access to the eJAmerica’s platform at any time, with or without cause, with or without notice, effective immediately. If you wish to terminate these Terms of Use, you may simply discontinue using the eJAmerica’s platform. All provisions of these Terms of Use which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9. Suspension of Service

eJAmerica reserves the right to suspend or discontinue the availability of the eJAmerica’s platform or any portion thereof at any time and for any reason without notice.

10. Modifications to Terms

eJAmerica reserves the right, at its sole discretion, to modify or replace any of these Terms of Use at any time. If a revision is material we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

11. Modifications to Service

eJAmerica reserves the right to modify or discontinue, temporarily or permanently, the eJAmerica’s platform (or any part thereof) with or without notice. You agree that eJAmerica shall not be liable to you or to any third-party for any modification, suspension or discontinuance of the eJAmerica platform.

12. Governing Law

These Terms of Use and any dispute or claim arising out of, or related to them, shall be governed by and construed in accordance with the laws of the State of California without giving effect to any choice or conflict of law provision or rule.

13. Dispute Resolution

Any legal suit, action, or proceeding arising out of, or related to, these Terms of Use or the eJAmerica’s platform shall be instituted exclusively in the federal courts of the United States or the courts of the State of California in each case located in the City of San Francisco and County of San Francisco. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

14. Entire Agreement

These Terms of Use, including the Privacy Policy and any other policies or guidelines referenced herein, constitute the entire agreement between you and eJAmerica and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and eJAmerica with respect to the eJAmerica’s platform.
